SPONSOR

This Giveaway (the “Sweepstakes”) is sponsored by Shibumi Shade, Inc. (“Shibumi”), located at 421 Fayetteville Street, Suite 1100, Raleigh, NC 27601,  (“Sponsor”).


ELIGIBILITY

Open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry.

THIS SWEEPSTAKES IS INTENDED FOR PLAY IN THE UNITED STATES ONLY. DO NOT ENTER IF YOU ARE NOT LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.

Employees of Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members and household members are not eligible to enter.


SWEEPSTAKES PERIOD

The Sweepstakes begins and ends on the dates and times specified on the official entry form (the “Sweepstakes Period”). Sponsor’s computer is the official time-keeping device.


HOW TO ENTER

During the Sweepstakes Period, eligible entrants may enter by completing and submitting the online entry form available at the designated Official Entry Form.

Limit one (1) base entry per person/email address. Multiple base entries in excess of the stated limit may result in disqualification at Sponsor’s sole discretion.

Bonus Entries

Entrants may earn additional bonus entries by completing optional promotional actions listed on the entry page. Bonus entries are not required to enter or win.

Available bonus entry opportunities may include:

  • Following Sponsor’s official account on Instagram

  • Following Sponsor’s official page on Facebook

  • Following Sponsor’s official account on TikTok

  • Subscribing to Sponsor’s official channel on YouTube

  • Uploading a photo (subject to the Photo Submission terms outlined below)

  • Other actions as described on the entry form

Each completed action will result in the number of bonus entries indicated on the entry page.

Entrants are not required to follow, subscribe, or engage with any social media platform to enter or win. Unfollowing Sponsor after entry will not disqualify an entrant.

All entries, including bonus entries, must be received during the Sweepstakes Period to be eligible.


PHOTO SUBMISSIONS (IF APPLICABLE)

If entrants choose to upload a photo to receive bonus entries:

By submitting a photo (“Submission”), entrant represents and warrants that:

  • The Submission is original and owned by entrant;

  • The Submission does not violate any third-party rights;

  • Entrant has obtained permission from any identifiable individuals appearing in the Submission;

  • The Submission does not contain unlawful, defamatory, obscene, or inappropriate material.

License Grant

By submitting a Submission, entrant grants Sponsor a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display the Submission, in whole or in part, in any media now known or later developed, including but not limited to organic social media, websites, email marketing, and other promotional materials, without further compensation, notice, or approval.

Sponsor is under no obligation to use any Submission and may remove or decline to use any Submission at its discretion.


PRIZE

Prize description is listed on the Official Entry Form.

No substitution, transfer, or cash equivalent permitted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable.

If the total prize value equals or exceeds $600, winner will be required to provide a valid Social Security number for tax reporting purposes and will receive an IRS Form 1099.

All federal, state, and local taxes and any other expenses associated with acceptance or use of the prize are the sole responsibility of the winner.


WINNER SELECTION AND NOTIFICATION

At the conclusion of the Sweepstakes Period, Sponsor will conduct a random drawing from among all eligible entries received.

Odds of winning depend on the total number of eligible entries received.

Potential winner will be notified via email and/or phone using the contact information provided at entry. If a potential winner cannot be contacted, fails to respond within the time period specified in the notification, or is found to be ineligible, Sponsor may select an alternate winner from remaining eligible entries.

Sponsor’s decisions are final and binding in all matters related to the Sweepstakes.


PUBLICITY RELEASE

Except where prohibited by law, acceptance of a prize constitutes winner’s consent for Sponsor to use winner’s name, likeness, city/state of residence, and prize information for promotional purposes in any media, worldwide, without further payment or consideration.


RELEASE OF LIABILITY

By participating, entrants agree to release and hold harmless Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees, and agents from any and all liability for injuries, losses, or damages of any kind arising from or in connection with participation in the Sweepstakes or acceptance, possession, or use of any prize.


GENERAL CONDITIONS

Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes if fraud, technical failures, or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion.

Sponsor reserves the right to disqualify any individual found to be tampering with the entry process or acting in violation of these Official Rules.
